Terms and conditions

Last updated: November 4, 2026

These terms and conditions apply to all quotes, assignments and agreements of Growthflow, registered with the Dutch Chamber of Commerce (KvK) under number 99031337. The client is the party that gives Growthflow an assignment.

1. Applicability and agreement

These terms apply to every quote and agreement between Growthflow and the client. Deviations only apply if they have been agreed in writing. The client's own terms and conditions do not apply.

Quotes are without obligation and valid for thirty days, unless stated otherwise. The agreement is concluded as soon as the client accepts the quote in writing or by email, or as soon as Growthflow starts the work at the client's request.

2. Performance

Growthflow carries out the assignment carefully and to the best of its ability. This is a best-efforts obligation: Growthflow does not guarantee specific results, such as search engine rankings, numbers of enquiries, advertising results or turnover. Stated deadlines are indicative, unless a strict deadline has been expressly agreed. Growthflow may engage third parties to carry out the work.

3. What we need from the client

The client provides, on time, the information, access, texts, images and approvals needed for the assignment. The client guarantees that material it supplies does not infringe the rights of third parties. If required information or materials are provided late, this may affect the planning and agreed deadlines. Any resulting additional work is discussed with the client in advance.

4. Prices, third-party costs and payment

All prices are in euros and exclude VAT. Advertising budgets and the costs of external services, such as hosting, software and licences, are not part of Growthflow's fee, unless agreed otherwise. The client pays these directly, or they are charged on separately.

Invoices are payable within fourteen days of the invoice date. Ongoing services are invoiced monthly in advance, unless agreed otherwise. If an invoice is paid late, Growthflow may suspend the work and charge the statutory interest and reasonable collection costs.

5. Additional work

Work outside the agreed assignment is additional work. Growthflow consults the client in advance about additional work and its costs.

6. Delivery and approval

The client approves the work before it goes live. A delivery is considered approved if the client does not raise a reasoned objection within fourteen days, or if the work is put into live use.

7. Intellectual property

After full payment, the client receives the right to use the delivered work for the agreed purpose. Growthflow remains the owner of its own methods, know-how, tools and reusable code. Material the client supplies itself, such as logos, photos and texts, remains the client's. Growthflow may mention and show the work in its own portfolio, unless the client objects.

8. Liability

Growthflow's liability is limited to direct damage and to no more than the amount invoiced for the assignment in the last three months. Growthflow is not liable for indirect damage, such as lost profit, nor for damage caused by outages or changes at external platforms and services that are outside Growthflow's control. These limitations do not apply in the event of intent or deliberate recklessness.

9. Duration and termination

Ongoing services run for the agreed period and can then be terminated with the notice period stated in the quote. Projects end on delivery. If an assignment is terminated early, the client pays for the work done up to that point.

10. Confidentiality, privacy and governing law

Both parties keep confidential information secret. For the processing of personal data, we refer to our privacy statement. Where necessary, the parties enter into a data processing agreement.

All agreements are governed by Dutch law. Disputes are submitted to the competent court in the district where Growthflow is established, unless the law provides otherwise.

This is a translation of the Dutch version. In the event of any differences, the Dutch version prevails.
